General Terms and Conditions of Soft Society

Article 1 – Definitions

In these terms and conditions, the following definitions apply:

  • Cooling-off Period: the period during which the consumer can exercise their right of withdrawal;

  • Consumer: the natural person who does not act in the exercise of a profession or business and enters into a distance contract with the entrepreneur;

  • Day: calendar day;

  • Long-term Transaction: a distance contract concerning a series of products and/or services, where delivery and/or acceptance obligations are spread over time;

  • Durable Data Carrier: any means that enables the consumer or entrepreneur to store information addressed personally to them, allowing future consultation and unaltered reproduction of the stored information;

  • Right of Withdrawal: the consumer's right to cancel the distance contract within the cooling-off period;

  • Entrepreneur: the natural or legal person offering products and/or services remotely to consumers;

  • Distance Contract: a contract concluded within the framework of a system organized by the entrepreneur for the remote sale of products and/or services, where only one or more techniques for distance communication are used up to and including the conclusion of the contract;

  • Means of Distance Communication: a method that can be used to conclude a contract without the consumer and entrepreneur being physically present together;

  • Terms and Conditions: these General Terms and Conditions of the entrepreneur.

Article 3 – Applicability

These terms and conditions apply to every offer of the entrepreneur and to every distance contract and order between the entrepreneur and the consumer.

Before a distance contract is concluded, the consumer will have access to the text of these terms and conditions. If this is not reasonably possible, the consumer will be informed that the terms and conditions can be inspected at the entrepreneur's office and will be provided free of charge upon request.

If the distance contract is concluded electronically, the text of the terms and conditions may be made available electronically so that it can be easily stored on a durable data carrier. If this is not reasonably possible, the consumer will be informed where the terms and conditions can be accessed electronically and that they will be provided free of charge on request.

In case specific product or service terms also apply, the above provisions apply correspondingly, and in case of conflict, the consumer may invoke the most favorable provision.

If one or more provisions are null or annulled, the remaining agreement and terms remain in effect, and the invalid provision will be replaced with one closely matching the original intent.

Situations not covered by these terms shall be assessed in the spirit of these terms. Ambiguities regarding interpretation shall also be resolved according to their spirit.


Article 4 – The Offer

If an offer has a limited validity or is conditional, this will be explicitly stated.

The offer is non-binding. The entrepreneur may modify or adjust the offer.

The offer provides a complete and accurate description of the products or services. Images are truthful representations. Obvious errors or mistakes do not bind the entrepreneur.

All images, specifications, or data are indicative and do not entitle the consumer to compensation. Product colors may differ slightly from displayed images.

Each offer includes sufficient information to clarify consumer rights and obligations, including: price, shipping costs, formation of the agreement, right of withdrawal, payment and delivery, acceptance period, communication costs, data verification, available languages, and codes of conduct. Optional: sizes, colors, materials.


Article 5 – The Agreement

The agreement is concluded when the consumer accepts the offer and meets the conditions.

If accepted electronically, the entrepreneur confirms receipt electronically. Until confirmation, the consumer may dissolve the agreement.

The entrepreneur ensures secure electronic communication and payment. Pre-assessment of consumer's ability to pay may be performed.

Information provided with the product or service includes: entrepreneur contact, withdrawal rights, guarantees, product/service details, and termination requirements for long-term contracts.


Article 6 – Right of Withdrawal

The consumer may withdraw within 30 days without reason. The cooling-off period starts the day after receipt.

The consumer must handle the product carefully and return it with all accessories and packaging in original condition, following provided instructions.

Notification of withdrawal must be made within 30 days of receipt. Proof of return must be provided. If the consumer does not comply, the purchase is considered final.


Article 7 – Costs in Case of Withdrawal

Return costs are fully borne by the consumer, including returns to the country of origin (e.g., supplier in China).

Refunds are issued within 30 days after receipt of the returned product or proof of return.


Article 8 – Exclusion of the Right of Withdrawal

Withdrawal may be excluded for:

  • Custom-made or personalized products;

  • Perishable or rapidly aging products;

  • Sealed audio, video, software, or hygienic products once opened;

  • Services relating to accommodation, transportation, or leisure at a specified date;

  • Betting or lottery services.

The exclusion must be clearly stated in the offer.


Article 9 – Price

Prices are fixed for the validity period unless VAT or legally required changes apply.

Products with market-linked prices may have variable pricing. Price increases within 3 months are only allowed by law. Price increases after 3 months require contractual allowance or withdrawal rights.

Delivery outside the EU may incur import VAT and clearance fees, borne by the recipient.

All prices are subject to typographical errors; no liability is accepted.


Article 10 – Conformity and Guarantee

Products/services comply with the agreement, offer specifications, reasonable quality requirements, and legal provisions.

Manufacturer guarantees do not affect statutory consumer rights. Defects or wrong deliveries must be reported within 30 days. Products must be returned in original condition.

Guarantees do not apply if:

  • Products were repaired or altered by the consumer or third parties;

  • Products were exposed to abnormal conditions;

  • Defects result from government regulations on materials.


Article 11 – Delivery and Execution

The entrepreneur exercises care in receiving and executing orders.

Delivery occurs at the address provided by the consumer. Orders are executed within 30 days unless otherwise agreed. Delays allow the consumer to dissolve the agreement.

Risk of damage or loss rests with the entrepreneur until delivery, unless agreed otherwise.


Article 12 – Long-term Transactions: Duration, Termination, and Extension

Termination: Consumers may terminate indefinite or fixed-term agreements for recurring deliveries with up to one month’s notice.

Extension: Agreements for recurring deliveries cannot be silently extended except for short-term magazine subscriptions (max three months).

Duration: Agreements over one year may be terminated after one year with one month’s notice.


Article 13 – Payment

Amounts are due within 7 days after the cooling-off period. Consumers must report errors in payment details. Late payments may incur reasonable costs.


Article 14 – Complaints Procedure

Complaints must be reported within 7 days of detecting defects. Entrepreneurs respond within 30 days. Unresolved complaints are subject to dispute resolution.


Article 15 – Disputes

Dutch law exclusively applies to agreements governed by these terms, even for consumers residing abroad.
